﻿VTENEXT Business License

The VTENEXT software (“the Software”) is copyright © 2017 VTENEXT SRL of VERONA, Italy (“VTENEXT”). Use of the Software is permitted subject to the below terms and conditions. A company or other legal entity wishing to deploy the Software (“Customer”) must accept these terms. Without acceptance, Customer may not use the Software except as permitted under the GNU Affero General Public License version 3 (“AGPL”).

Article 1. Grant of license
VTENEXT hereby grants Customer a limited, non-exclusive license to install, deploy and use the Software for its business operations.
The license is limited to Customer. Customer may not distribute copies to third parties, and may not make available functionality of the Software to third parties, for example through a Software-as-a-Service business models or by offering the services of the Software to third parties. Independent contractors working for the sole benefit of Customer, e.g. consultants and temporary employees hired through a staffing agency, are not considered third parties.
The license includes the right to make modifications to the Software and to have independent contractors make modifications to the Software for the sole benefit of Customer.
VTENEXT may make available optional modules to the Software for separate use. If and when Customer acquires such modules, the present license terms shall apply to such modules. All references to the Software shall be construed as applying to modules, except where indicated otherwise.
The Software is licensed, not sold. No copyrights or other intellectual property rights are transferred to Customer. The intellectual property on any modifications made by or for Customer shall rest with Customer, subject to the underlying intellectual property rights of VTENEXT.

Article 2. Installation of the Software
To acquire the Software, Customer must register with VTENEXT and provide the requested business information. Customer shall keep VTENEXT informed of any changes to this information.
After registration VTENEXT will provide Customer with a hyperlink and other information necessary to download and acquire a copy of the Software.
Customer is itself responsible for installing, deploying and using the Software for its business operations. VTENEXT will provide installation instructions for the most common platforms.
In case Customer has already acquired a copy of the Software under the AGPL, Customer is deemed to have changed the license terms to that of the present agreement upon payment of the license fee.

Article 3. Support and updates
For as long as a support package has been purchased, VTENEXT will provide a reasonable level of technical and user support to Customer and its employees. If a fixed license fee is paid, a support package is included in the fee. If a one-shot license fee is paid, support packages must be purchased separately on a per-user, per-year basis. For the first twenty-four (24) months, purchasing a support package is mandatory.
For as long as a support package has been purchased, VTENEXT will from time to time make available updates that address bugs or improve the functioning of the Software. VTENEXT or its partners will alert Customer to any available updates. Customer is itself responsible for installing, deploying and using the updates. VTENEXT may refuse support for any issue that has been fixed in an update not installed by Customer.
An update may provide terms additional to the terms of this agreement. Customer will be informed in advance if this is the case and will be granted an opportunity to refuse that update. By installing such an update Customer accepts the additional terms, which then become part of this agreement.

Article 4. SaaS
Should Customer purchase the Software as a Service (SaaS), the Software will be installed in, and made available by VTENEXT to Customer from, a cloud infrastructure controlled by VTENEXT. In such case, the above provisions which imply installation of the Software on Customer’s premises and/or availability of Software copies to Customer shall not apply, without prejudice to the rest.
Furthermore, in such case Customer (as controller) and VTENEXT (as processor) shall execute a separate Data Processing Agreement pursuant to Art. 28 of the GDPR concerning the processing of data stored in the cloud infrastructure.

Article 5. Payment terms
In consideration for the license and support provided to VTENEXT, Customer must pay the fee(s) as reported to Customer. Fees are based on the number of users granted accounts to the Software.
Fees are due in advance and are valid for one-year terms, unless explicitly indicated otherwise by VTENEXT. The agreement terminates automatically if Customer does not pay a required fee in time.
For additional modules, separate fees apply. These fees also are valid for the same term unless explicitly indicated otherwise by VTENEXT, but only the usage right for the module terminates if Customer does not pay a required module fee in time.
All amounts payable hereunder by Customer shall be payable in Euro without deductions for taxes, assessments, fees, or charges of any kind. Payment shall always be done by Customer no later than 30 days after invoice date. In case of late payments, the applicable interest under Italian law pursuant to D.Lgs.
231/2022 shall be added to the fee as calculated on a monthly basis from the moment the original term of payment expired, and any costs, fees and expenses incurred in connection with the collection of the debt as provided by Italian law.
Records kept by VTENEXT shall be regarded as proof of fees due, unless Customer can prove such records are inaccurate.
VTENEXT has the right to annually perform an audit to verify Customer’s compliance with these license terms, in particular regarding the number of persons that use the Software. The audit shall be performed by an independent third party (such as a chartered accountant) in confidence. The auditor may only report the data relevant for the compliance verification VTENEXT. The costs of the audit shall be borne by VTENEXT, unless the report reveals that Customer has failed to pay the correct license fee.

Article 6. Limitation of liability
To the fullest extent permitted by law, and unless explicitly indicated in writing otherwise, VTENEXT expressly disclaims all conditions, representations or warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, and non- infringement of third party rights regarding the Software. The Software is not fault-tolerant and as such is not designed for use in hazardous environments requiring fail-safe performance.
VTENEXT shall be liable to Customer only for direct damages arising out of its intentional misconduct towards Customer or materially negligent performance of any of its obligations under the agreement.
VTENEXT shall never be liable for any consequential, special, punitive and/or incidental damages, including loss of profits, arising out of or in connection with the agreement, even if advised of the possibility of such damages.
Any liability of VTENEXT for an event shall be limited to the license fee actually paid by Customer for the year in which the event occurred.
No liability shall exist for damages that have not been reported to VTENEXT in writing within two weeks of their occurrence, for damages that result from bugs fixed in an update not installed by Customer, or for damages where Customer failed to take appropriate measures to limit such damages.

Article 7. Term and termination
This license agreement is entered into on the date Customer acquires the Software from VTENEXT and remains effective for successive one-year periods thereafter, unless terminated in accordance with the provisions below. If a one- shot license is chosen, the license agreement remains effective for a two-year period, after which it is automatically renewed for successive one-year periods thereafter, unless terminated in accordance with the provisions below.
Customer may terminate this agreement at any time by providing written notice to VTENEXT. No refunds will be given.
VTENEXT may terminate this agreement by giving written notice at least three months prior to the end of the then-current license term.
Either party may further terminate this agreement if the other party blamefully fails to comply with the material obligations under the agreement, but only after the party that failed to comply has not remedied the failure within a reasonable time period after having received a written notice of default that is adequate and as detailed as possible.
Either party may immediately terminate the agreement by written notice to the other party, without the requirement for notice of default or intervention of the courts, in the event of the following: if the other party has been granted suspension of payments, whether provisionally or not; if a petition for bankruptcy has been filed with respect to the other party; if the other party files for bankruptcy itself; or if the other party’s enterprise is dissolved or terminated, except for the purpose of a merger with or absorption by another company.
After termination, Customer may no longer use the Software except in accordance with the terms of the AGPL.

Article 8. Change of terms and pricing
VTENEXT may change or add to these terms and conditions as well as any prices at every renewal of the license pursuant to Article 7 or to possible further agreements between the parties. VTENEXT shall inform Customer in writing of such change at least thirty days before renewal date.
If Customer is unwilling to accept a change or addition, Customer must terminate the agreement renewal until the renewal date.

Article 9. Law and venue
Italian law applies to this agreement.
Except to the extent determined otherwise by mandatory applicable law all disputes arising in connection with the Software shall be brought before the courts of Verona, Italy.
In case any part of these terms and conditions are declared legally invalid, this shall not affect the validity of the whole of the agreement. The parties shall in such an event agree on one or more replacement provisions that approximate the original intent of the invalid provision(s) within the limits of the law.

Article 10. Miscellaneous terms
For any clause in this agreement that demands that a statement must be done "in writing" to be legally valid, a statement by e-mail or fax shall be sufficient provided with sufficient certainty the authenticity of the sender can be established and the integrity of the statement has not been compromised.
The version of any communication of information as recorded by VTENEXT shall be deemed to be authentic, unless you supply proof to the contrary.
VTENEXT is entitled to transfer its rights and obligations under this agreement to a third party in the cases and in the forms provided for by the applicable legislation.


Licenza commerciale VTENEXT

Il software VTENEXT (il "Software") è copyright © 2017 VTENEXT SRL di VERONA ("VTENEXT"). L'utilizzo del Software è consentito secondo i termini e le condizioni riportati di seguito. Un'azienda, o altra persona giuridica, che desidera implementare il Software ("Cliente") deve accettare i presenti termini. Senza l'accettazione, il Cliente non può utilizzare il Software, salvo nella misura consentita dalla versione 3 della GNU Affero General Public License ("AGPL").

Articolo 1. Concessione della licenza
VTENEXT concede al Cliente una licenza limitata e non esclusiva per l'installazione, l'implementazione e l'utilizzo del Software per le proprie attività commerciali.
La licenza è limitata al Cliente. Il Cliente non può distribuire copie a soggetti terzi, né può rendere disponibili a terzi le funzionalità del Software, ad esempio attraverso modelli di business Software as a Service oppure offrendo i servizi del Software a terzi. I collaboratori indipendenti che lavorano a beneficio esclusivo del Cliente, es. consulenti e lavoratori temporanei assunti attraverso un'agenzia per il lavoro, non sono considerati soggetti terzi.
La licenza include il diritto di apportare modifiche al Software e di incaricare collaboratori terzi di apportare modifiche al Software a beneficio esclusivo del Cliente.
VTENEXT potrebbe rendere disponibili alcuni moduli opzionali del Software per un utilizzo separato. Qualora il Cliente acquisti tali moduli, i presenti termini si applicheranno ai suddetti moduli. Tutti i riferimenti al Software saranno considerati come afferenti ai moduli, salvo diversamente indicato.
Il Software viene concesso in licenza, non venduto. Nessun diritto d'autore, o altro diritto di proprietà intellettuale, viene trasferito al Cliente. La proprietà intellettuale su eventuali modifiche apportate da o per il Cliente appartiene a quest'ultimo, fatti salvi i diritti di proprietà intellettuale di VTENEXT.

Articolo 2. Installazione del Software
Per acquistare il Software, il Cliente deve registrarsi a VTENEXT e fornire le informazioni commerciali richieste. Il Cliente dovrà informare VTENEXT di eventuali variazioni a tali informazioni.
In seguito alla registrazione, VTENEXT fornirà al Cliente un collegamento ipertestuale e altre informazioni necessarie per scaricare e acquistare una copia del Software.
Il Cliente è responsabile dell'installazione, dell'implementazione e dell'utilizzo del Software per le proprie attività commerciali. VTENEXT fornirà le istruzioni di installazione per le principali piattaforme.
Nel caso in cui il Cliente abbia già acquistato una copia del Software tramite la licenza AGPL, si riterrà che il Cliente abbia modificato i termini di licenza con quelli del presente contratto, previo pagamento della quota di licenza.

Articolo 3. Assistenza e aggiornamenti
Per la durata prevista dal pacchetto di assistenza acquistato, VTENEXT fornirà al Cliente e ai suoi dipendenti un livello adeguato di assistenza tecnica e di supporto all'utente. Se viene pagata una quota di licenza fissa, nella quota sarà compreso un pacchetto di assistenza. Se viene pagata una quota di licenza one-shot, i pacchetti di assistenza dovranno essere acquistati separatamente per ciascun utente, su base annua. Per i primi ventiquattro (24) mesi, l'acquisto di un pacchetto di assistenza è obbligatorio.
Per la durata prevista dal pacchetto di assistenza acquistato, VTENEXT renderà occasionalmente disponibili degli aggiornamenti volti a correggere errori o a migliorare il funzionamento del Software. VTENEXT o i suoi partner avviseranno il Cliente dell'eventuale disponibilità di aggiornamenti. Il Cliente è responsabile dell'installazione, dell'implementazione e dell'utilizzo degli aggiornamenti. VTENEXT può rifiutarsi di fornire assistenza per eventuali problemi che sono stati risolti in un aggiornamento non installato dal Cliente.
Un aggiornamento può comportare ulteriori termini in aggiunta a quelli del presente contratto. In tal caso, il Cliente sarà informato preventivamente e avrà la possibilità di rifiutare l'aggiornamento. Installando l'aggiornamento, il Cliente accetta i termini aggiuntivi, che diventano parte del presente contratto.

Articolo 4. Software as a Service (SaaS)
Qualora il Cliente acquisti l'opzione Software as a Service (Saas), il Software sarà installato in un'infrastruttura in cloud controllata da VTENEXT e messo a disposizione del Cliente da VTENEXT tramite la stessa.
In tal caso, le suddette disposizioni relative all'installazione del Software presso la sede del Cliente e/o alla disponibilità di copie del Software per il Cliente non saranno applicate, fermo restando quanto stabilito.
Inoltre, nel suddetto caso, il Cliente (come titolare) e VTENEXT (come responsabile) stipuleranno un Accordo per il trattamento dei dati separato ai sensi dell'Art. 28 del GDPR in merito al trattamento dei dati conservati nell'infrastruttura in cloud.

Articolo 5. Termini di pagamento
Per la licenza e l'assistenza fornite da VTENEXT, il Cliente deve pagare le quote che gli vengono comunicate. Le quote si basano sul numero di utenti a cui viene concesso un account per il Software.
Le quote devono essere pagate in anticipo e hanno una durata annuale, salvo diversa indicazione espressa da VTENEXT. Il contratto viene risolto automaticamente se il Cliente non effettua il pagamento della quota richiesta entro i termini prestabiliti.
Per i moduli aggiuntivi si applicano quote separate. Queste quote sono valide per la stessa durata, salvo diversa indicazione espressa da VTENEXT, ma qualora il Cliente non versi per tempo la quota richiesta per il modulo, cessa esclusivamente il diritto di utilizzo del modulo.
Tutti gli importi dovuti dal Cliente devono essere pagati in euro, senza detrazioni fiscali, valutazioni, commissioni o oneri di qualsiasi tipo. Il pagamento deve essere effettuato dal Cliente entro 30 giorni dalla data di fatturazione. In caso di ritardi nei pagamenti, alla quota saranno aggiunti gli interessi applicabili previsti dalla legge italiana ai sensi del D.Lgs. 231/2022, calcolati su base mensile a partire dalla scadenza del termine di pagamento originario, ed eventuali costi, commissioni e spese sostenuti in relazione alla riscossione del debito, secondo quanto stabilito dalla legge italiana.
I registri tenuti da VTENEXT saranno considerati come prova delle quote dovute, a meno che il Cliente non possa dimostrare che tali registri sono inesatti.
VTENEXT ha il diritto di effettuare annualmente un audit per verificare l'osservanza dei presenti termini di licenza da parte del Cliente, in particolare per quanto riguarda il numero di persone che utilizzano il Software. L'audit deve essere effettuato da un soggetto terzo indipendente (ad esempio, un perito contabile) in forma riservata. L'auditor può riferire esclusivamente i dati relativi alla verifica della conformità di VTENEXT. I costi dell'audit sono a carico di VTENEXT, a meno che il report non riveli il mancato pagamento della quota di licenza corretta da parte del Cliente.

Articolo 6. Limitazione di responsabilità
Nella misura massima consentita dalla legge, e salvo diversa indicazione esplicita per iscritto, VTENEXT declina espressamente qualsiasi condizione, dichiarazione o garanzia, espressa o implicita, incluse, senza limitazioni, eventuali garanzie implicite di commerciabilità, idoneità per uno scopo particolare e non violazione di diritti di terzi in relazione al Software. Il Software non è a prova di guasto e, in quanto tale, non è progettato per essere utilizzato in ambienti pericolosi che richiedono prestazioni a prova di errore.
VTENEXT è responsabile nei confronti del Cliente esclusivamente per i danni diretti causati da un suo comportamento di dolo verso il Cliente o da negligenza materiale nell'esecuzione di uno qualsiasi dei propri obblighi previsti dal contratto.
VTENEXT non è responsabile per eventuali danni consequenziali, speciali, punitivi e/o incidentali, inclusa la perdita di profitto, derivanti dal contratto o in relazione allo stesso, anche se avvisata della possibilità di tali danni.
Qualsiasi responsabilità di VTENEXT per un evento è limitata alla quota di licenza effettivamente pagata dal Cliente per l'anno in cui si verifica tale evento.
Non sussiste alcuna responsabilità per danni che non siano stati comunicati per iscritto a VTENEXT entro due settimane dalla loro comparsa, così come per danni derivanti da errori corretti in un aggiornamento non installato dal Cliente o per danni in cui il Cliente non ha adottato le misure appropriate per limitare gli stessi danni.

Articolo 7. Durata e risoluzione
Il presente contratto di licenza viene stipulato alla data di acquisto del Software di VTENEXT da parte del Cliente e rimane in vigore per periodi successivi di un anno, salvo in caso di risoluzione ai sensi delle disposizioni di cui sotto. Se viene scelta una licenza one-shot, il contratto di licenza resta in vigore per un periodo di due anni, al termine del quale viene automaticamente rinnovato per successivi periodi di un anno, salvo in caso di risoluzione ai sensi delle disposizioni di cui sotto.
Il Cliente può recedere dal presente contratto in qualsiasi momento previa comunicazione scritta a VTENEXT. Non è previsto alcun rimborso.
VTENEXT può recedere dal presente contratto previa comunicazione scritta almeno tre mesi prima della scadenza del periodo di licenza in corso.
Ciascuna delle parti può inoltre risolvere il presente contratto se l'altra parte non adempie colpevolmente agli obblighi materiali previsti dal contratto, ma solo dopo che la parte inadempiente non ha posto rimedio all'inadempienza entro un periodo di tempo ragionevole in seguito alla ricezione di una comunicazione scritta di inadempienza che sia adeguata e quanto più dettagliata possibile.
Ciascuna delle parti può risolvere immediatamente il contratto mediante comunicazione scritta all'altra parte, senza che sia necessaria la costituzione in mora o l'intervento del tribunale, nei seguenti casi: se all'altra parte è stata concessa la sospensione dei pagamenti, a titolo provvisorio o meno; se è stata presentata un'istanza di fallimento nei confronti dell'altra parte; se l'altra parte presenta essa stessa un'istanza di fallimento; o se l'impresa dell'altra parte viene sciolta o cessata, salvo in caso di fusione o assorbimento da un'altra società.
Dopo il termine del contratto, il Cliente non può più utilizzare il Software, se non in conformità con i termini della licenza AGPL.

Articolo 8. Modifiche ai termini e ai prezzi
VTENEXT può modificare o ampliare i presenti termini e condizioni, così come qualsiasi prezzo, a ogni rinnovo della licenza, in conformità con l'Articolo 7 o con altri eventuali accordi tra le parti. VTENEXT dovrà informare per iscritto il Cliente di tale modifica almeno trenta giorni prima della data di rinnovo.
Se il Cliente non intende accettare la modifica o l'integrazione, il Cliente deve recedere dal rinnovo del contratto entro la data di rinnovo.

Articolo 9. Legge applicabile e foro competente
Al presente contratto si applica la legge italiana.
Salvo quanto diversamente stabilito dalla legge obbligatoriamente applicabile, tutte le controversie che dovessero sorgere in relazione al Software saranno deferite al tribunale di Verona.
Nel caso in cui una parte dei presenti termini e condizioni sia dichiarata legalmente non valida, ciò non pregiudica la validità dell'intero contratto. In tale circostanza, le parti dovranno concordare una o più disposizioni sostitutive che si avvicinino all'intento originario delle disposizioni non valide entro i limiti di legge.

Articolo 10. Disposizioni varie
Per qualsiasi clausola del presente contratto che richieda una dichiarazione prodotta "per iscritto" ai fini della sua validità legale, sarà sufficiente una dichiarazione trasmessa per e-mail o via fax, a condizione che sia possibile stabilire con sufficiente certezza l'autenticità del mittente e che l'integrità della dichiarazione non sia stata compromessa.
La versione di qualsiasi comunicazione di informazioni registrata da VTENEXT sarà ritenuta autentica, a meno che non venga presentata una prova che dimostri il contrario.
VTENEXT ha la facoltà di trasferire a terzi i propri diritti e i propri obblighi derivanti dal presente contratto nei casi e nelle forme previste dalla normativa applicabile.
